SEC Filing Deadlines and Dates to Know in 2019

The Securities and Exchange Commission takes a holiday for Christmas and New Year's Day, but SEC reporting teams for fund groups and operating companies will be heads down getting ready to meet the first filing deadlines of the year. Here are a few resources to help filers plan for 2019.

To help colleagues inside and outside the accounting, finance and compliance departments keep track of deadlines, check out the 2019 SEC filing calendar from Workiva. The calendar lists due dates for 10-K, 10-Q, N-4, 13F and other key forms, as well as SEC holidays when the EDGAR system will not process submissions.

Important dates for foreign private issuers (FPIs)

Foreign private issuers with significant securities offerings in the United States are required to meet a number of specific SEC filing deadlines. You can download or print this SEC calendar for FPIs to keep dates for Forms 20-F, 11-K, 13F, 13H and SD handy, based on a calendar year-end.

The first wave of iXBRL implementation

Amongst the financial reporting trends and developments to watch in 2019 is the first phase of implementation for the Inline XBRL (eXtensible Business Reporting Language) mandate. Although the SEC is phasing in its requirement for filers to use iXBRL for financial statements and risk/return summaries, savvy teams are using it already. Large accelerated filers must meet the mandate for periods ending on or after 15 June, 2019, meaning the second quarter for those whose fiscal year follows the calendar year. Be sure to plan accordingly.
